LAWER S.p.A. signs definitive agreement with Graco Inc.

LAWER S.p.A. announces that it has signed a definitive agreement for the sale of 100% of its shares to Graco Inc., a US industrial group listed on the New York Stock Exchange. The transaction is a strategic choice designed to ensure continuity in LAWER’s journey, strengthen its international presence and create the conditions for a new phase of sustainable development, for the benefit of the company, its people and the community in which it was born and has grown.

Founded and developed in Italy, LAWER is today a global benchmark in the design and manufacture of automatic dosing systems for a range of industrial sectors, including textiles, rubber, tyres, cosmetics, plastics and food. From its headquarters in Cossato, in the province of Biella, the company serves customers worldwide with solutions for high value-added processes in which precision, traceability and micro-dosing automation are essential requirements.

Graco Inc., founded in 1926 and headquartered in Minneapolis, Minnesota, is a global industrial group listed on the New York Stock Exchange since 1969. The company designs, manufactures and markets technologies and equipment to move, measure, control, dispense and spray fluids, coatings and powder materials. With approximately 4,000 employees, operations in 12 countries and products sold in more than 100 countries, Graco Inc. serves thousands of customers in the manufacturing, processing, construction and maintenance industries. International growth, investment in new products and markets, and acquisitions are part of its long-term strategy, together with its commitment to creating value for customers, employees, shareholders and local communities.

“In Graco Inc. we have found the most suitable partner to strengthen LAWER’s international presence and accelerate its growth. From our very first meetings, a shared industrial vision and a strong affinity between our respective corporate cultures emerged. This decision also stems from the owners’ clear sense of responsibility towards LAWER, its people and the community in which the company has grown. We wanted to find a solid group with the expertise, resources and scale to build on what has been achieved and to open up new opportunities for the future. The transaction was also designed with the local community in mind: the continuity of the headquarters, management and local operations provides the basis for preserving expertise, industrial relations and employment, while creating new prospects for investment and development. We are confident that joining a global group such as Graco Inc., consistent with the path of growth and industrial development it has followed in other acquisitions, will over time strengthen LAWER’s role and generate positive benefits for employees, suppliers, customers and the entire community. We are convinced that the integration will bring together complementary expertise and deliver even greater value to customers around the world,” said LAWER.

Completion of the transaction is expected by the end of 2026 and is subject to customary closing conditions. LAWER will continue to operate from its headquarters in Cossato, retaining its current management team and maintaining its commitment to customers, suppliers, people and the local community. Becoming part of Graco Inc. will give LAWER access to a global network, new expertise and greater resources to support innovation and growth, while keeping its roots firmly in the Biella area.
